2 Scope of Agreement
This Agreement sets forth the terms under which the Supplier will sell its products to the Customer on a wholesale basis. The Customer agrees to purchase products for resale through their business channels, including physical retail locations, online stores, cafes, restaurants, or other approved points of sale.
3 Order & Pricing
All orders must meet a minimum order value of £200
Wholesale prices are provided in the Supplier’s current price list or digital catalogue and are subject to change with 30 days’ notice.
All prices are exclusive of VAT unless otherwise stated.
4 Payment Terms
Payment terms are by Pro Forma (or by account if pre- agreed).
Invoices will be issued upon order confirmation or dispatch.
Late payments may incur interest at 4% above the Bank of England base rate.
5 Delivery
Delivery is made via courier service.
Delivery charges may apply and will be confirmed at the time of order.
Risk in the goods passes to the Customer upon delivery. Title passes upon full payment.
6 Returns & Damages
Any damages or shortages must be reported within 5 business days of delivery.
Returns are accepted only with prior written agreement and are subject to inspection.
Custom or seasonal items are non-returnable unless faulty.
7 Resale & Branding
Products must be sold under the Kindred Mugs brand unless otherwise agreed.
The Customer must not rebrand, modify, or relabel the products without permission.
Online resale on third-party marketplaces (e.g., Amazon, eBay) requires prior written approval.
8 Marketing & Representation
The Customer agrees to represent the products accurately and not make misleading claims.
Marketing materials provided by Kindred Mugs Ltd. must be used in accordance with brand guidelines.
9 Termination
Either party may terminate this Agreement with 30 days’ written notice.
The Supplier reserves the right to terminate immediately if the Customer breaches payment terms or misuses the brand.
10 Confidentiality
Both parties agree to keep confidential all non-public business, product, and pricing information.
11 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.
12 Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, oral or written.
